Item 4.01.
Changes in Registrant’s Certifying Accountant.

As previously disclosed, on June 20, 2017, the Audit Committee of Greene County Bancorp, Inc. (the “Company”) approved the dismissal of BDO USA LLP (“BDO”) as the Company’s independent registered public accounting firm. On September 28, 2017, BDO completed its audit of the Registrant’s consolidated financial statements as of and for the year ended June 30, 2017.  Accordingly, the dismissal is effective September 28, 2017.

The audit reports of BDO on the consolidated financial statements of the Company as of and for the fiscal years ended June 30, 2017 and 2016 did not contain an adverse opinion or a disclaimer of opinion, and were not qualified or modified as to uncertainty, audit scope or accounting principles.

During the fiscal years ended June 30, 2017 and 2016 and the subsequent interim period through September 28, 2017, there were no: (1) disagreements with BDO on any matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedures, which disagreements, if not resolved to BDO’s satisfaction, would have caused BDO to make reference in connection with its opinion to the subject matter of the disagreement, or (2) reportable events under Item 304(a)(1)(v) of Regulation S-K.

The Company requested that BDO furnish it with a letter addressed to the Securities and Exchange Commission (“SEC”) stating whether or not BDO agreed with the above statements.  A copy of BDO’s letter to the SEC dated September 28, 2017 is filed as Exhibit 16 to this Form 8-K.
