Item 5.02.                                        Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On August 28, 2017, John C. Conrad informed the board of directors (the “Board”) of Farmland Partners Inc. (the “Company”) of his resignation as a member of the Board, effective immediately. Mr. Conrad’s resignation was due to personal reasons and was not the result of any disagreements with the Company. Mr. Conrad served on the Board as the representative of Forsythe Family Farms, Inc., Gerald R. Forsythe, Forsythe-Fournier Farms, LLC, Forsythe-Fawcett Farms, LLC, Forsythe-Bernadette Farms, LLC, Forsythe Land Company, Forsythe Family Farms, L.P., Forsythe Family Farms II, L.P., and Forsythe-Breslow Farms, LLC (collectively, the “Security Holders”) pursuant to the Security Holders Agreement, dated as of March 2, 2016, by and among the Security Holders and the Company (the “Security Holders Agreement”). Pursuant to the terms of the Security Holders Agreement, subject to certain limitations, Gerald R. Forsythe, in his capacity as the representative of the Security Holders, is entitled to nominate a new director to the Board to replace Mr. Conrad.

 

In connection with Mr. Conrad’s resignation, the Board reduced the size of the Board from eight directors to seven directors.
