Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangement of Certain Officers.

(b) On August 7, 2017, Wendy F. DiCicco submitted her resignation from the Board of Directors of II-VI Incorporated (the “Company”) and all committees thereof, which resignation was accepted by the Board of Directors of the Company effective August 14, 2017. To the Company’s knowledge, Ms. DiCicco’s resignation is not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies, or practices.
