Submission of Matters to a Vote of Security Holders
At the Special Meeting of Stockholders of School Specialty, Inc. (the Company) held on August 15, 2017, the Companys stockholders voted on a proposal to approve the proposed amendment to the Companys Amended and Restated Certificate of Incorporation, as amended, to increase the number of authorized shares of common stock, par value $0.001 per share, of the Company (Common Stock) from 2,000,000 to 50,000,000 shares (the Amendment) for the purpose of, among other things, effecting a seven-for-one stock split of the Common Stock as part of the Amendment. The final voting results on this proposal were as follows:
