Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 18, 2017, the Board of Directors (the “Board”) of Jason Industries, Inc. (the “Company”) increased the size of the Board from seven members to eight members and elected the Company’s President and Chief Executive Officer, Brian Kobylinski, as a new director to fill the vacancy created by such increase. Mr. Kobylinski will serve as a class I director with a term expiring at the Company’s 2018 annual meeting of stockholders. Mr. Kobylinski has not yet been appointed to serve on any Committee of the Board.
There are no arrangements between Mr. Kobylinski and any other person pursuant to which Mr. Kobylinski was elected to serve as a director, nor are there any transactions in which the Company is a participant in which Mr. Kobylinski has a material interest requiring disclosure pursuant to Item 404(a) of Regulation S-K promulgated under the Securities Exchange Act of 1934, as amended.
