Item 8.01. Other Events.

On June 19, 2017, II-VI Incorporated (the “Company”) issued a press release announcing that it had acquired Integrated Photonics, Inc., located in Hillsborough, New Jersey. Integrated Photonics is a leader in engineered magneto-optic materials that enable high-performance directional components such as optical isolators for the optical communications market. The Company paid approximately $45.0 million at closing, with up to an additional $2.5 million in potential earn-out payments over time, all subject to certain adjustments.

Separately, the Company indicated in the press release that its revenue and EPS guidance was unchanged for its fourth fiscal quarter ended June 30, 2017.
