Explanatory Note

This Current Report on Form 8-K/A is being filed as an amendment (“Amendment No.1”) to the Current Report on Form 8-K filed by Core-Mark Holding Company, Inc. with the Securities and Exchange Commission on May 30, 2017 (the “Original Filing”).  The purpose of Amendment No. 1 is to disclose the new compensation arrangements in connection with appointment of Mr. Matt Tachouet as Vice President and Chief Accounting Officer.  No other changes are being made to the Original Filing.

Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(c) and (e) On May 23, 2017, the Company named Mr. Matt Tachouet as Vice President and Chief Accounting Officer, effective as of May 23, 2017.  In connection with his promotion, Mr. Tachouet will receive a one-time grant of 2,700 restricted stock units to be issued under the Company’s 2010 Long-Term Incentive Plan.  One-third of Mr. Tachouet’s newly-issued restricted stock units under the one-time grant will vest on January 1, 2018, one-third will vest on January 1, 2019 and the remaining one-third will vest on January 1, 2020, in each case subject to his continued service to the Company on such vesting date.
