Item 8.01.  Other Events.

On June 12, 2017, a subsidiary of Bristow Group Inc. entered into an agreement to sell a Sikorsky SAR S-92A model aircraft to another helicopter operator for approximately $40.0 million in cash. The sale closed on June 12, 2017, at which time the Bristow subsidiary received all of the proceeds and title to the aircraft transferred to the other helicopter operator. The aircraft is equipped for search and rescue operations and was operating previously in Australia.
