Item 5.02          Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

G.D. Madden retired as a director of Knight Transportation, Inc. (the “Company”), effective as of May 12, 2017, pursuant to the Company’s Corporate Governance Guidelines dated February 4, 2016. Under the Company’s governance guidelines, directors are subject to a mandatory retirement age of 75. Mr. Madden has served as a director of the Company since 1997. The Company appreciates, and has benefited from, Mr. Madden’s many years of wise counsel and faithful service.
