ITEM 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On May 1, 2017, the Board of Directors of Synalloy Corporation (the “Company”) unanimously approved, pursuant to the powers granted to the Board by Section 12 of the Company’s 2015 Stock Awards Plan (the “2015 Plan”), the First Amendment to the 2015 Stock Awards Plan (the “Amendment”). The Amendment amends the 2015 Plan by granting the Compensation and Long Term Incentive Committee of the Board the authority to establish and amend vesting schedules for stock awards made pursuant to the 2015 Plan.

The description of the Amendment contained in this Current Report on Form 8-K is a summary and is qualified in its entirety by the terms of the Amendment. The Company will file the Amendment with the U.S. Securities and Exchange Commission as an exhibit to its next Quarterly Report on Form 10-Q.
