ITEM 7.01. Regulation FD Disclosure.
On March 21, 2017, Easterly Government Properties, Inc. (the “Company”) issued separate press releases announcing that the Company has agreed to (i) acquire a 327,614 rentable square foot state-of-the-art U.S. Department of Veterans Affairs Ambulatory Care Center located in Loma Linda, California and (ii) acquire and complete the development of an 86,363 rentable square foot state-of-the-art U.S. Department of Veterans Affairs Outpatient Clinic in Mishawaka, Indiana. Copies of the press releases are furnished as Exhibit 99.1 and Exhibit 99.2 to this Current Report on Form 8-K (this “Current Report”).
Also on March 21, 2017, the Company issued a press release announcing the commencement of an underwritten public offering of 4,300,000 shares of common stock of the Company, par value $0.01 per share, being offered on a forward basis in connection with certain forward sales agreements. A copy of that press release is furnished as Exhibit 99.3 to this Current Report.
