Our report dated March 10, 2017, on the effectiveness of internal control over financial reporting as of December 31, 2016, expresses our opinion that American National Insurance Company (the Company) did not maintain effective internal control over financial reporting as of December 31, 2016 because of the effect of material weaknesses on the achievement of the objectives of the control criteria and contains an explanatory paragraph that states material weaknesses related to the ineffective internal controls over the measurement and presentation of deferred income taxes, the recognition and disclosure of the amount of collateral under equity option derivative arrangements and the information and communication controls over these areas have been identified and included in managements assessment.
