Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing

Item 8.01 Other Events.

 

On January 6, 2017, The NASDAQ Stock Market LLC (“Nasdaq”) notified CardConnect Corp. (the “Company”) that the Company’s common stock has been approved for continued listing on the NASDAQ Global Market.

 

On January 3, 2017, the Company notified Nasdaq that it does not intend to appeal the Staff’s determination that the Company’s warrants do not meet the minimum 400 round lot holder requirement as described in the Company’s Current Report on Form 8-K filed on November 4, 2016, the contents of which are incorporated herein by reference. On January 6, 2017, Nasdaq notified the Company that the Company’s warrants would be suspended from trading on January 6, 2017 and delisted upon completion of Nasdaq’s internal processes. As of January 6, 2017, the warrants trade on the OTC Pink market and the Company expects to apply to list the warrants on the OTCQX U.S. market.
