ITEM 5.02 DEPARTURE OF DIRECTOR
On November 16, 2016, our entire Board of Directors and holders of a majority of our outstanding shares of capital stock (voting together as a single class on an as-converted to Common Stock basis) approved, by means of a written joint consent of the Board of Directors and stockholders in lieu of special meeting, an action to reduce the size of the Board of Directors from five directors to four directors, and resolved that Robert T. Slezak will no longer serve on the Board of Directors in connection with such decrease to the size of the Board of Directors.
