Item 2.02 Results of Operations and Financial Condition.
The Press Release issued by TransDigm Group Incorporated (the “Company”) described below under Item 7.01 and attached as Exhibit 99.1 included certain preliminary information with respect to the Company’s estimated results for the fiscal year ended September 30, 2016.
Item 7.01 Regulation FD Disclosure.
On October 4, 2016, the Company issued a press release (the “Press Release”) announcing that it is seeking to increase its existing term loan facility by an additional $650 million in connection with considering whether to pay a special dividend. The Company also provided certain preliminary information with respect to estimated fiscal 2016 results.
A copy of the Press Release is attached to this Current Report as Exhibit 99.1.
