On August 10, 2016, the SPX FLOW Inc. issued a press release titled “SPX FLOW, Inc. Announces Expiration of its Cash Tender Offer for its 6.875% Senior Notes due 2017.” A copy of the press release is attached hereto as Exhibit 99.1 to this Form 8-K.
