On July 6, 2016, M III Acquisition Corp. (the “Company”) filed its Amended and Restated Certificate of Incorporation in the State of Delaware. The terms of the Amended and Restated Certificate of Incorporation are set forth in the registration statement (File No. 333-210817) relating to the Company’s initial public offering and are incorporated herein by reference. A copy of the Amended and Restated Certificate of Incorporation is attached as Exhibit 3.1 hereto and is incorporated by reference herein.
