Item 1.02.  Termination of a Material Definitive Agreement.

 

On April 28, 2016, the Share Purchase and Registration Rights Agreement, dated as of June 8, 2015, as amended (the “Purchase Agreement”), by and among QLT Inc. (the “Company” or “QLT”), Broadfin Healthcare Master Fund, Ltd., JW Partners, LP, and JW Opportunities Fund, LLC, EcoR1 Capital Fund Qualified, L.P. and EcoR1 Capital Fund, L.P (collectively, the “Investors”) was terminated by the mutual consent of the parties thereto.  The Purchase Agreement provided that the Investors would purchase from the Company, in a private transaction, $20 million of the Company’s common shares (the “Shares”).  The Company’s board of directors has determined that the Company’s cash requirements at this time do not justify the dilution that would be caused by the private placement.

 

The foregoing description of the terms of the Purchase Agreement is not complete and is qualified in its entirety by the terms and conditions of the full text of the Purchase Agreement, which was filed as an exhibit to QLT’s Current Report on Form 8-K filed on June 12, 2015, and which is incorporated herein by reference.
