Item 1.01       Entry into a Material Definitive Agreement

 

On April 14, 2016, Enumeral Biomedical Corp. (“Enumeral”), a wholly owned subsidiary of Enumeral Biomedical Holdings, Inc. (the “Company”), entered into a Fourth Amendment (the “Amendment”) to that certain Exclusive Patent License Agreement, dated as of April 15, 2011, by and between the Massachusetts Institute of Technology and Enumeral (as previously amended, the “Agreement”).

 

The Amendment revises the timetable for Enumeral to complete certain diligence obligations relating to the establishment of sublicenses and/or Corporate Partner agreements for the development of Licensed Products and/or Diagnostic Products, as well as the timetable by which an Investigational New Drug Application shall be filed on a Therapeutic Product (as such terms are defined in the Agreement).

 

The foregoing summary of the Amendment does not purport to be complete and is qualified in its entirety by reference to the Amendment, a copy of which will be filed as an exhibit to the Company’s Quarterly Report on Form 10-Q for the three-month period ending March 31, 2016. The Company intends to seek confidential treatment for certain portions of the Amendment.
