On April 4, 2016, based on a recommendation of the Compensation Committee of the Board of Directors (the “Board”) of Vringo, Inc. (the “Company”), a majority of the independent directors (the “Independent Directors”) of the Board approved adjustments of the annual base salary for the following named executive officers of the Company: (i) an increase from $415,000 to $435,000 for Andrew D. Perlman, the Company’s Chief Executive Officer; (ii) an increase from $325,000 to $335,000 for Anastasia Nyrkovskaya, the Company’s Chief Financial Officer and Treasurer; and (iii) an increase from $325,000 to $375,000 for Cliff Weinstein, the Company’s Executive Vice President and President of Fli Charge. The salary increases are effective as of April 1, 2016.
