On March 1, 2016, Overseas Shipholding Group, Inc. issued a press release, a copy of which is attached hereto as Exhibit 99.1, announcing fourth quarter and full year 2015 earnings.

On March 1, 2016, the Company issued a press release announcing that its Board of Directors had declared a dividend of $0.08 on each share of Class A common stock and Class B common stock with a record date of March 18, 2016 and a payment date of March 25, 2016. In connection with the dividend, holders of warrants for the Company’s Class A and Class B common stock will be entitled to receive, upon exercise, additional shares of Class A common stock in respect of the dividend in accordance with the warrants’ terms. A copy of the press release is attached as Exhibit 99.2.
