Item 7.01 Regulation FD Disclosure.
On February 22, 2016, the Company announced that its operating subsidiary, EVERTEC Group, LLC, received U.S. federal bank regulatory approval on February 19, 2016 for the acquisition of 65% of the share capital of Processa S.A.S., a Colombian payment processing company that is based in Bogotá. The transaction is subject to customary closing conditions and is anticipated to close at or about the end of the first quarter of 2016. The transaction will be completed with cash on hand.
A copy of the press release announcing the transaction discussed above is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference herein.
