Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective January 31, 2016, Mark Slaughter, the prior Chief Executive Officer and President of RigNet, Inc. (the “Company”) has resigned from the Company’s Board of Directors (the “Board”).

Item 8.01 Other Events

In connection with the resignation of Mr. Slaughter from the Board, the Board has reduced its size by one seat, such that the total size of the Board after the reduction is eight members.
