STORE Capital Prices Upsized Secondary Public Offering of Common Stock

 

SCOTTSDALE, Ariz., January 27, 2016 - STORE Capital Corporation (“STORE Capital”) (NYSE: STOR), an internally managed net-lease real estate investment trust (REIT) that invests in Single Tenant Operational Real Estate, announced today the upsizing and pricing of its previously announced secondary public offering.  Pursuant to the offering, STORE Holding Company, LLC (the “Selling Stockholder”), a stockholder affiliated with Oaktree Capital Management, L.P., is selling 12,173,914 shares of STORE Capital’s common stock and has granted the underwriter of the offering a 30-day option to purchase up to an additional 1,826,086 shares from the Selling Stockholder.  The public offering price is $23.00 per share.  STORE Capital will not receive any proceeds from shares of common stock to be sold by the Selling Stockholder.  The offering is expected to close on or about February 1, 2016, subject to customary closing conditions.

 

Goldman, Sachs & Co. is acting as sole underwriter for the offering.
