Item 5.02 — Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements for Certain Officers.

On December 28, 2015, Medical Imaging Corp. (the “Company”) issued 750,000 shares of common stock to its Chief Executive Officer as payment for $33,750, which represented partial payment due for Mr. Geisler’s 2015 salary. Additionally, the Company issued 450,000 shares of common stock to Leveljump Inc. as payment for $20,250 which represented partial payment due on its consulting contract for 2015.
