Item 5.07 Submission of Matters to a Vote of Security Holders.

The 2015 Annual Meeting of Shareholders of Independence Bancshares, Inc. (the “Company”) was held on November 4, 2015, at the office of Nelson Mullins Riley & Scarborough LLP, 104 South Main Street, Suite 900, Greenville, South Carolina. Of the 20,502,760 shares of the Company’s common stock issued and outstanding, and the 8,425 shares of the Company’s Series A preferred stock issued and outstanding (each of which votes with the common stock as a single class and entitles the holder to 1,250 votes on all matters voted), as of the close of business on the record date, 10,252,666 shares of the Company’s common stock and 8,325 shares of the Company’s Series A preferred stock (representing 10,406,250 votes) were present in person or by proxy at the Annual Meeting, representing approximately 67% of the total outstanding eligible votes.

The shareholders of the Company voted: (1) to elect six nominees to serve on the Board of Directors; and (2) to ratify the appointment of Elliott Davis Decosimo, LLC as the Company’s independent registered public accounting firm for the year ending December 31, 2015.
