Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On August 11, 2015, Mr. Chris Smith informed Universal Biosensors, Inc. (the “Company”) of his resignation from the Board of Directors (“Board”), including his role as member of the Remuneration and Nomination Committee, with effect from August 30, 2015. Mr. Smith’s resignation did not result from any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. The Company thanks Mr. Smith for his service and commitment during his tenure as a director of the Company.
