Item 8.01 Other Events.

On June 29, 2015, Orion Energy Systems, Inc. (the “Company”) issued a press release announcing its Board of Directors’ designation of a new independent director nominee to stand for election at the Company’s 2015 Annual Meeting of Shareholders (the “2015 Annual Meeting”). A copy of the press release issued by the Company is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

Additional Information and Where to Find It

The Company has filed with the Securities and Exchange Commission (the “SEC”) a definitive proxy statement in connection with the election of certain nominees as directors and certain other matters to be considered by the shareholders at its 2015 Annual Meeting. The definitive proxy statement was sent beginning on June 19, 2015 to shareholders of record on June 10, 2015 and contains important information about the proposed nominees for election as directors and the other matters to be considered at the 2015 Annual Meeting.
