Item 5.07. Submission of Matters to a Vote of Security Holders.

On June 18, 2015, SAExploration Holdings, Inc. (the “Company”), held its 2015 Annual Meeting of Stockholders (the “Annual Meeting”). Of the 14,922,497 shares of the Company’s common stock outstanding and eligible to vote at the Annual Meeting, 11,959,896 shares were present either in person or by proxy.

The following describes the matters considered by the Company’s stockholders at the Annual Meeting and the results of the votes cast thereupon:

Proposal 1. To elect one director to the Company’s Board of Directors as a Class B Director serving until the Annual Meeting of Stockholders to be held in 2018.

Proposal 2. To vote on a proposal to ratify the selection of Pannel Kerr Forster of Texas, P.C. as the Company’s independent registered public accounting firm for the year ending December 31, 2015.

As a result, the stockholders of the Company elected the nominee as a Class B director of the Company and ratified the appointment of Pannel Kerr Forster of Texas, P.C. as the independent registered accounting firm for the Company for the year ending December 31, 2015.

Item 8.01. Other Events.

On June 19, 2015, the Company issued a press release announcing that it has completed its offer to exchange up to $150 million aggregate principal amount of its outstanding 10% Senior Secured Notes due 2019 (the “Existing Notes”), for an equivalent amount of its 10% Senior Secured Notes due 2019 registered under the Securities Act of 1933, as amended (the “New Notes”).  

The press release further stated that all of the holders of the Existing Notes participated in the exchange offer, and the Company exchanged all of the outstanding Existing Notes that were tendered by the holders of those notes for the New Notes. The press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
