Item 5.07.                                        Submission of Matters to a Vote of Security Holders.

Jones Energy, Inc. (the “Company”) held its annual meeting of stockholders on May 28, 2015.  At that meeting the Company’s stockholders voted on the matters set forth below:

1. Proposal to approve the election of each of the following Class II director nominees for the Company’s board of directors to serve until the 2018 Annual Meeting of Stockholders.

2. Proposal to approve the ratification of the selection of PricewaterhouseCoopers LLP as the Company’s independent registered public accounting firm for the fiscal year ending December 31, 2015.
