The information provided under Item 7.01 of this Current Report on Form 8-K is being furnished and is not deemed to be “filed” with the SEC for purposes of Section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to the liabilities of that section.
On May 14, 2015, UMB Financial Corporation (the “Company”) issued a press release announcing that the Company’s applications to acquire and merge with Marquette Financial Companies and to merge Meridian Bank, n.a. and Meridian Bank Texas into UMB Bank, n.a. have been approved by the Board of Governors of the Federal Reserve System and the Office of the Comptroller of the Currency. The transactions are expected to close on May 31, 2015. A copy of the press release is attached as Exhibit 99.1.
