Section 5 – Corporate Governance and Management
Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On February 17, 2015, Overseas Shipholding Group, Inc. (the “Company”) announced the appointment of Mr. James Small as Senior Vice President, Secretary and General Counsel, effective in March. Mr. James Edelson, the current General Counsel of the Company, will assume responsibility for Governmental Affairs at that time. On February 17, 2015, the Company issued a press release announcing these changes, which is attached hereto as Exhibit 99.1.

On February 17, 2015 the Company announced the appointment of Mr. James Small as Senior Vice President, Secretary and General Counsel. See Item 5.02 above.
