Item 7.01 Regulation FD Disclosure
On January 27, 2015 Energizer Holdings, Inc. (the "Company") announced that its Board of Directors declared a quarterly dividend of fifty cents ($0.50) per share on its Common Stock, payable on March 18, 2015 to all shareholders of record as of the close of business on February 19, 2015. A copy of the press release announcing the dividend declaration is attached hereto as Exhibit 99.1 and incorporated by reference herein.
