Item 1.01 Entry into a Material Definitive Agreement

Item 2.03 Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant

On November 18, 2014, C. R. Bard, Inc. (the “Company”), JPMorgan Chase Bank, N.A., as Administrative Agent, and certain other banks and financial institutions entered into Amendment No. 2 (the “Amendment”) to that certain Credit Agreement dated as of October 12, 2011 (as amended, the “Credit Agreement”).

The Amendment extends the commitment termination date from September 26, 2018 until November 18, 2019.

In the ordinary course of their respective businesses, one or more of the lenders, or their affiliates, have or may have various relationships with the Company and its subsidiaries involving the provision of a variety of financial services for which they received, or will receive, customary fees and expenses.
