Item 8.01 Other Events
In connection with Kimball International, Inc.’s (the “Company”) previously announced spin-off of its electronic manufacturing services business, its subsidiary, Kimball Electronics, Inc., filed a Registration Statement on Form 10 (the “Registration Statement”) with the Securities and Exchange Commission (the “SEC”). The SEC has declared this Registration Statement effective as of October 7, 2014. The Company will mail a copy of Kimball Electronics, Inc.’s Information Statement regarding the spin-off, or a Notice of Internet Availability of Information Statement Materials containing instructions on how to access such Information Statement, to its shareholders on or about October 10, 2014. The Company today issued a press release relating to this declaration of effectiveness and the anticipated trading markets for the Company and Kimball Electronics, Inc.
The Company’s press release is attached as Exhibit 99.1 and is incorporated herein by reference.
