Talking points for CareFusion Sales and Service Employees

Confidential | For use in customer conversations | Do not forward, print or distribute

On Oct. 5, CareFusion and BD announced a definitive agreement for BD to acquire CareFusion, pending customary closing conditions, including regulatory and CareFusion stockholder approval.

Combined, CareFusion and BD will be a global leader in medication management and patient safety solutions, including strong offerings to support infection prevention, acute-care procedural effectiveness, anesthesiology and respiratory care.

BD is a leading medical technology company with innovative solutions for improving drug delivery, enhancing the diagnosis of infectious diseases and cancers, supporting the management of diabetes and advancing cellular research.

We anticipate the acquisition being completed in mid-calendar year 2015. Until then, BD and CareFusion will continue to operate independently, with no changes in your sales or support contacts as a result of the definitive agreement.

Our goal is to make the combination a positive experience for you, with clear communication about any changes that may affect your business.

We are excited by the possibilities the combination of BD and CareFusion will create for our employees, customers and your patients. I look forward to sharing more information in the coming months.
