NOTES TO THE UNAUDITED FINANCIAL STATEMENTS

AUGUST 31, 2014


NOTE 1 – BASIS OF PRESENTATION



The accompanying unaudited interim financial statements of Milestone International, Corp. (“we”, “our”, “Milestone” or the “Company”) have been prepared in accordance with accounting principles generally accepted in the United States of America and the rules of the Securities and Exchange Commission, and should be read in conjunction with Milestone’s audited 2014 annual financial statements and notes thereto filed on Form 10-K with the SEC. In the opinion of management, all adjustments, consisting of normal reoccurring adjustments, necessary for a fair presentation of financial position and the results of operations for the interim periods present have been reflected herein. The results of operation for interim periods are not necessarily indicative of the results to be expected for the full year. Notes to the financial statements, which would substantially duplicate the disclosure required in Milestone’s fiscal 2014 financial statements have been omitted.


NOTE 2 – GOING CONCERN


The financial statements have been prepared on a going concern basis which assumes the Company will be able to realize its assets and discharge its liabilities in the normal course of business for the foreseeable future.  The Company has not generated any revenues and has incurred losses since inception resulting in an accumulated deficit of $26,316 as of August 31, 2014 and further losses are anticipated in the development of its business raising substantial doubt about the Company’s ability to continue as a going concern.  The ability to continue as a going concern is dependent upon the Company generating profitable operations in the future and/or to obtain the necessary financing to meet its obligations and repay its liabilities arising from normal business operations when they come due. Management intends to finance operating costs over the next twelve months with existing cash on hand and loans from directors and/or private placement of common stock.

 


NOTE 3 – RELATED PARTY TRANSACTIONS


Since inception through August 31, 2014, the Director advanced the Company $1,824 to pay for general and administrative expenses. This loan is non-interest bearing, due upon demand and unsecured.


NOTE 4 – EQUITY


During June 2014, the Company issued 100,000 common shares for cash proceeds of $2,000.

ITEM 2. MANAGEMENT'S DISCUSSION AND ANALYSIS OF FINANCIAL CONDITION AND RESULTS OF OPERATION


GENERAL


MILESTONE INTERNATIONAL, CORP. (“Milestone”, "the Company", “our” or "we") was incorporated under the laws of the State of Nevada on April 18, 2013 for the purpose of operating service in interior design in its targeted markets, which currently is Russia. Our registration statement has been filed with the Securities and Exchange Commission on August 20, 2013 and has been declared effective on May 12, 2014.


CURRENT BUSINESS OPERATIONS


Milestone International, Corp. is a Russia based corporation that operates a business in yacht maintenance in Russia.


To date, our business operations have been limited to primarily, the development of a business plan, the completion of private placements for the offer and sale of our common stock, discussing the offers of yacht maintenance services with potential customers, and the signing of the service agreement with Inturia, Ltd., a private Russian company.  As of August 31, 2014 the revenue of $3,800 was recognized pursuant to the signed service agreement.


RESULTS OF OPERATIONS


As of August 31, 2014, we had total assets of $1,308 and total liabilities of $1,824.  We anticipate that we will continue to incur substantial losses in the next 12 months. Our financial statements have been prepared assuming that we will continue as a going concern.  We expect we will require additional capital to meet our long term operating requirements. We expect to raise additional capital through, among other things, the sale of equity or debt securities.

Three Months Period Ended August 31, 2014


Revenue


During the three months period ended August 31, 2014 we had no revenue recognized.


Operating Expenses


During the three month period ended August 31, 2014, we incurred general and administrative expenses of $20,134. General and administrative expenses incurred generally related to corporate overhead, financial and administrative contracted services, such as legal and accounting, developmental costs, and marketing expenses.


Net Loss


Our net loss for the three months period ended August 31, 2014 was $20,134 due to the factors discussed above.




LIQUIDITY AND CAPITAL RESOURCES


As of August 31, 2014


As at August 31, 2014 our current assets were $1,308 compared to $19,442 in current assets at May 31, 2014. As at August 31, 2014, our current liabilities were $1,824 compared to $1,824 in current liabilities at May 31, 2014.


Stockholders’ equity decreased from $17,618 as of May 31, 2014 to $(516) as of August 31, 2014.   


Cash Flows from Operating Activities


We have not generated positive cash flows from operating activities. For the three month period ended August 31, 2014, net cash flows used in operating activities was $20,134. We incurred a net loss of $20,134.


Cash Flows from Investing Activities


We neither used nor generated cash flow from investing activities during the three months period ended August 31, 2014.


Cash Flows from Financing Activities


We have financed our operations primarily from either advancements or the issuance of equity and debt instruments. For the three months period ended August 31, 2014 net cash flows from financing activities was $2,000 received from proceeds from issuance of common stock.

PLAN OF OPERATION AND FUNDING


We expect that working capital requirements will continue to be funded through a combination of our existing funds and further issuances of securities. Our working capital requirements are expected to increase in line with the growth of our business.


Existing working capital, further advances and debt instruments, and anticipated cash flow are expected to be adequate to fund our operations over the next six months. We have no lines of credit or other bank financing arrangements. Generally, we have financed operations to date through the proceeds of the private placement of equity and debt instruments. In connection with our business plan, management anticipates additional increases in operating expenses and capital expenditures relating to: (i) developmental expenses associated with a start-up business and (ii) marketing expenses. We intend to finance these expenses with further issuances of securities, and debt issuances. Thereafter, we expect we will need to raise additional capital and generate revenues to meet long-term operating requirements. Additional issuances of equity or convertible debt securities will result in dilution to our current shareholders. Further, such securities might have rights, preferences or privileges senior to our common stock. Additional financing may not be available upon acceptable terms, or at all. If adequate funds are not available or are not available on acceptable terms, we may not be able to take advantage of prospective new business endeavors or opportunities, which could significantly and materially restrict our business operations.


MATERIAL COMMITMENTS


As of the date of this Quarterly Report, we do not have any material commitments.


PURCHASE OF SIGNIFICANT EQUIPMENT


We do not intend to purchase any significant equipment during the next twelve months.


OFF-BALANCE SHEET ARRANGEMENTS


As of the date of this Quarterly Report, we do not have any off-balance sheet arrangements that have or are reasonably likely to have a current or future effect on our financial condition, changes in financial condition, revenues or expenses, results of operations, liquidity, capital expenditures or capital resources that are material to investors.


GOING CONCERN


The independent auditors' report accompanying our May 31, 2014 and May 31, 2013 financial statements contains an explanatory paragraph expressing substantial doubt about our ability to continue as a going concern. The financial statements have been prepared "assuming that we will continue as a going concern," which contemplates that we will realize our assets and satisfy our liabilities and commitments in the ordinary course of business.
