Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On September 23, 2014, we and Kirk Nagamine, our Chief Revenue Officer, mutually agreed to end Mr. Nagamine’s employment, effective October 1, 2014. In connection with the foregoing, we expect to enter into a separation agreement and general release with Mr. Nagamine. He has 21 days from the date he received the agreement to consider it before signing it. If we enter into the agreement, provided that he does not revoke his acceptance of the agreement prior to the seventh day after he signs it, in exchange for a release of claims in our favor, Mr. Nagamine will receive four months’ salary of approximately $75,000 in the aggregate, less applicable tax withholdings, which will be payable in substantially equal installments on a bi-weekly basis over a four-month period, and we will reimburse Mr. Nagamine for a period of four months’ of COBRA premiums.
