The Board of Directors of Adaptive Medias, Inc., a Nevada corporation (the “Company”), by unanimous resolutions effective September 1, 2014, has approved (i) the appointment of Mark Lambert as a director of the Company until such time as his successor shall be duly appointed; (ii) the creation of an audit committee (the “Audit Committee”) which shall consist of no less than one director, who shall have requisite working familiarity with basic finance and accounting practices; and (iii) the appointment of Mark Lambert as Chairman of the Audit Committee until such time as his successor shall be duly appointed.
