Item 8.01OTHER EVENTS

On August  22, 2014, the Company’s Board of Directors consented to a vote to declare a regular quarterly cash dividend of $0.55 per share for the fourth quarter of fiscal 2014.  The dividend will be paid on October 3, 2014, to shareholders of record on September 11, 2014.  A copy of the press release is attached hereto as Exhibit 99.1.
