Item 2.02.  Results of Operations and Financial Condition

U.S. Energy Corp. (“U.S. Energy” or the “Company”) published a press release dated August 11, 2014 reporting its second quarter 2014 highlights and selected financial results for the quarter ended June 30, 2014 and providing an operational update.  A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
