Item 8.01 Other Events.

Superior Industries International, Inc. (the “Company”) has scheduled its 2014 Annual Meeting of Shareholders (the “2014 Annual Meeting”) to be held at the Airtel Plaza Hotel, 7277 Valjean Avenue, Van Nuys, California 91406 on August 15, 2014. Shareholders of record as of the close of business on June 26, 2014 are entitled to notice of and to vote at the 2014 Annual Meeting.

The 2014 Annual Meeting is being held more than 30 days after the anniversary of the Company’s most recent annual meeting of shareholders. As a result, pursuant to Rule 14a-8 under the Securities Exchange Act of 1934, as amended (the “Exchange Act”), the Company has set a new deadline for the receipt of any shareholder proposals submitted pursuant to Rule 14a-8 for inclusion in the Company’s proxy materials for the 2014 Annual Meeting. Similarly, pursuant to Rule 14a-4(c)(1) under the Exchange Act, the Company has set a new deadline for the preservation of discretionary authority to vote on any non-14a-8 proposals for the 2014 Annual Meeting that are not timely received by the Company. The new deadline for both purposes is the close of business on May 26, 2014, which the Company believes meets the reasonableness requirements under applicable law.
