At your request, we have examined the Registration Statement on Form S-1 (the "Registration Statement") filed by RealBiz Media Group, Inc., a Delaware corporation (the "Company"), that is intended to register under the Securities Act of 1933, as amended (the "Securities Act"), 16,657,671 shares of the Company's common stock (the "Shares") consisting of 5,762,345 shares of common stock currently issued and outstanding and 10,104,826 shares of common stock issuable upon conversion of convertible preferred stock of Next 1 Interactive, Inc. (the “Convertible Shares”) .
