Before the opening of the market on March 14, 2014 Sears Hometown and Outlet Stores, Inc. (the "Company") issued a news release regarding its preliminary 2013 fourth quarter and 2013 fiscal year earnings. The news release is attached hereto as Exhibit 99.1.

The Company also announced, via the above-referenced news release, that it intends to hold its 2014 annual meeting of stockholders ("Annual Meeting") on May 28, 2014 and to begin mailing its proxy statement and related materials for the Annual Meeting on April 15, 2014. The Company further announced that it has fixed April 7, 2014 as the record date for determining stockholders entitled to notice of, and to vote at, the Annual Meeting.
