ITEM 5.02. DEPARTURE OF DIRECTORS OR PRINCIPAL OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF PRINCIPAL OFFICERS
On March 12, 2014, Eric Carlborg notified Blue Nile, Inc. (the “Company”) of his decision not to stand for re-election to the Board of Directors at the Company’s 2014 annual meeting of stockholders (“2014 Annual Meeting”). Mr. Carlborg will continue to serve as a director of the Company until the 2014 Annual Meeting, which is currently expected to be held on May 22, 2014.
In connection with Mr. Carlborg’s decision not to stand for re-election, the Board of Directors will reduce the size of the Board of Directors from nine members to eight members effective as of the date of the 2014 Annual Meeting.
