On February 26, 2014, Extended Stay America, Inc. and ESH Hospitality, Inc. issued a press release announcing their results of operations for the year ended December 31, 2013. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference in this Item 2.02.

On February 26, 2014, Extended Stay America, Inc. and ESH Hospitality, Inc. issued a press release announcing that the Board of Directors of ESH Hospitality, Inc. has declared a prorated cash dividend of $0.08 per share for the fourth quarter of 2013, payable to ESH Hospitality, Inc.’s Class A and Class B common shareholders. The dividend will be payable on March 26, 2014 to shareholders of record as of March 12, 2014. A copy of the press release is attached to this report as Exhibit 99.2 to this Current Report on Form 8-K and is incorporated herein by reference in this Item 8.01.
