Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b)    On January 3, 2014, Infinera Corporation (the “Company”) received notification that Philip J. Koen resigned as a member of the Board of Directors (the “Board”) of the Company effective immediately prior to our upcoming annual meeting of stockholders and will not be standing for re-election at that meeting. Mr. Koen indicated that his stepping down from the Company’s Board will permit him to devote additional time to other business interests and responsibilities. The Company would like to take this opportunity to thank Mr. Koen for his four years of service on the Board and to wish him every success in his future endeavors.
