Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On December 20, 2013, John A. Koskinen resigned from the Board of Directors (the “Board”) of American Capital, Ltd. and the Board’s Audit & Compliance Committee, effective immediately, to become the new Commissioner of the Internal Revenue Service. Mr. Koskinen has been an independent member of the Board and a member of the Board’s Audit & Compliance Committee since 2007.
A copy of the press release announcing Mr. Koskinen’s resignation is attached hereto as Exhibit 99.1.
