Item 5.02 Departure of Directors or Principal Offiers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
On December 12, 2013, Nortech Systems Incorporated (the “Company”) announced that Mike Degen will retire as Chief Executive Officer of the Company effective January 1, 2014 and become executive chairman of Nortech’s board. On that same day Rich Wasielewski, president, CFO and COO, will become Nortech’s president and CEO and Paula Graff, director of finance, will become CFO. Mr. Wasielewski will join the Nortech board of directors effective Jan. 1, 2014. A copy of the announcement is being furnished as Exhibit 99 hereto.
