Item 7.01.                                        Regulation FD Disclosure.

 

On December 4, 2013, we entered into an agreement to acquire an 80% equity interest in the business of Roof Tile, Inc. and a 40% equity interest in a related but separate joint venture. Also on December 4, 2013, we commenced an offering of $150.0 million aggregate principal amount of senior notes due 2019. Finally, on December 5, 2013, we announced the pricing of the $150.0 million of 7¼% senior notes.

 

Attached hereto as Exhibit 99.1 and incorporated by reference herein is a shareholder presentation dealing with the above transactions and other information about Headwaters. In accordance with General Instruction B.2 of Form 8-K, the information included in Exhibit 99.1
